1. Introduction

These Terms and Conditions  govern your access to and use of the Site and the graphic design services we offer, including, but not limited to, Logo Design, Social Media Post Design, Wedding Album Design, Poster Design, Calligraphy, Typography, Line Art, and AI Image Creation (collectively, the “Services”).

By accessing or using our Site and Services, you agree to be bound by these Terms. If you disagree with any part of the terms, you must not use our Site or Services.

2. Service Agreement and Scope of Work

A. Project Initiation

All projects begin upon receipt of a clearly defined Scope of Work (SOW) and the initial non-refundable deposit (if applicable, as agreed upon for the specific project). We will only commence work once all required client-provided materials (text, images, brand guidelines, etc.) have been submitted.

B. Revisions

The number of design concepts and allowed revisions will be specified in the individual project quote or agreement. Any revisions requested by the client beyond the agreed-upon number will be subject to an additional hourly fee, quoted and approved by the client before execution.

C. Client Responsibilities

The client is responsible for providing timely feedback, complete and accurate information, and all necessary content (e.g., text, high-resolution images, corporate logos) for the project. Delays caused by the client’s failure to provide timely materials or feedback may result in project deadlines being extended or the project being subject to additional fees.

3. Pricing, Payments, and Refunds

A. Quotes and Pricing

All prices quoted are valid for 30 days from the date of issuance. We reserve the right to revise our rates or the project scope if the client alters the original request after work has commenced.

B. Payment Structure

Unless otherwise agreed upon in writing, payment is typically structured as follows:

  1. 50% Non-Refundable Deposit upon project commencement.

  2. 50% Final Payment upon project completion and before the final, high-resolution files are delivered to the client.

C. Refunds and Cancellations

The initial deposit is non-refundable. If a client cancels a project before completion, we retain the deposit. If the amount of work completed exceeds the deposit amount, the client will be invoiced for the remaining balance based on the percentage of work completed at the time of cancellation.

4. Intellectual Property and Copyright

A. Ownership of Final Work

Upon full and final payment, the client will be granted full ownership and copyright of the final design files (e.g., final logo, final poster image) for which the payment was made. We transfer all rights, title, and interest in and to the final design, allowing the client to use, publish, and reproduce the work.

B. Ownership of Working Files

Working files, concept sketches, drafts, and all intermediate materials remain the property of brightseoagency. We are not obligated to provide these working files unless explicitly agreed upon in the project quote for an additional fee.

C. Portfolio and Promotional Use

Brightseoagency retains the right to display the completed work (including final designs, mockups, and client testimonials) in our online portfolio, on the Site, and across social media platforms for the purpose of promoting our Services.

D. Third-Party Materials (Fonts, Stock, AI)

  • Fonts: We will primarily use free, licensed, or commonly available commercial fonts. If a project requires the use of a proprietary font license, the client is responsible for purchasing and providing the necessary license.

  • Stock Assets: The client is responsible for purchasing the necessary licenses for any premium stock images or assets requested for use in the final design.

5. Limitation of Liability

Brightseoagency shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the Services, or the cost of procurement of substitute goods and services, or resulting from any designs or data obtained.

We make every effort to ensure designs are legally compliant, but we are not legal professionals. The client is solely responsible for performing legal searches or securing trademarks for any design (e.g., a logo) before using it commercially.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of [India/Rajasthan], without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in [Jodhpur, Rajasthan] for the purpose of litigating all such claims or disputes.
